Terms & Conditions of Service for Genova Med Carrier

1. Acceptance of Terms

By engaging Genova Med Carrier (“Company,” “we,” “us”) for courier services, you (“Client”) agree to be bound by these Terms and Conditions (“Terms”). These Terms, along with any executed Service Proposal or Business Associate Agreement (BAA), constitute the entire agreement.

2. Services

We provide specialized, time-sensitive transportation of medical specimens, documents, and supplies. All services are performed in accordance with applicable laws, including HIPAA, and our internal safety and compliance protocols. 

3. Client Responsibilities

  • Client agrees to: 

    • Provide accurate pick-up/delivery information and ensure packages are properly prepared, labeled, and packaged for safe transport as per IATA/CDC guidelines where applicable. 
    • Designate authorized personnel for scheduling and communication. 
    • Enter into a separate BAA with Genova Med Carrier prior to the transport of any Protected Health Information (PHI). 
    • Ensure all provided materials comply with hazardous materials regulations if applicable. 

4. Pricing & Payment

  • Services are billed according to the current Rate Card or as specified in a Service Proposal. 
  • Invoices are due within 7 days from receipt. Late payments will be subject to fees. 
  • Client is responsible for all applicable taxes. 

5. Limitations of Liability

  • Critical Provision: Genova Med Carrier’s liability is strictly limited. We are liable only for direct damages resulting from our gross negligence or willful misconduct, and such liability is capped at the total fees paid by Client for the specific shipment in question. 
  • We are NOT LIABLE for any indirect, incidental, consequential, or punitive damage, including but not limited to lost profits, or damages related to delayed or lost diagnoses or treatment. 
  • Client is responsible for ensuring adequate insurance for the intrinsic value of specimens. We recommend clients maintain their own insurance for such value. 

6. Indemnification

Client agrees to indemnify and hold harmless Genova Med Carrier from any claims, losses, or damages arising from Client’s breach of these Terms, improper packaging, or provision of inaccurate information. 

7. Confidentiality

Both parties agree to maintain the confidentiality of all proprietary and protected information, including PHI, exchanged during the course of service, in accordance with a BAA and applicable law. 

8. Termination

Either party may terminate services with written notice. Termination does not relieve Client of the obligation to pay for services already rendered. 

9. Governing Law

These Terms shall be governed by the laws of the State of Texas. Any disputes shall be resolved in the courts of Texas. 

10. Modifications

We reserve the right to modify these Terms. Continued use of our services after posted changes constitutes acceptance.
